Welcome to Why Not Creator Network LLC ("we," "us," "our," or "the Company"). These Terms of Service ("Terms") govern your access to and use of our website, platform, and the services we provide (collectively, the "Services").

Please read these Terms carefully. By accessing our website or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

1. Agreement to Terms

By creating an account, applying to our network, or otherwise using our Services, you affirm that you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into this binding agreement. You agree on your own behalf, and on behalf of any entity you represent, to comply with and be legally bound by these Terms.

2. Description of Services

Why Not Creator Network LLC provides services to connect digital content creators ("Creators") with brands, sponsors, and partners ("Partners") for marketing and promotional opportunities. Our Services may include talent management, campaign facilitation, content strategy, performance analytics, and payment processing. The specific scope of services for any Creator or Partner will be detailed in a separate, written agreement (e.g., a "Creator Agreement" or "Campaign Agreement").

3. User Accounts

To access certain features of our Services, you may be required to register for an account. You agree to:

Provide accurate, current, and complete information during the registration process.
Maintain the security and confidentiality of your account password.
Notify us immediately of any unauthorized use of your account.
Accept full responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate your account at any time for any reason, including if any information provided is found to be inaccurate, not current, or incomplete.

4. Payment Terms

Terms regarding payments, revenue sharing, fees, and invoicing will be governed by a separate, binding agreement between the Company and each Creator or Partner. By using our payment processing services, you agree to comply with the terms of our third-party payment processors (e.g., Stripe, PayPal). You are solely responsible for paying any and all applicable taxes on any income you receive through our Services.

5. Intellectual Property Rights

Our Intellectual Property: The Services, including our website, text, graphics, logos, trademarks, and software, are the exclusive property of Why Not Creator Network LLC and its licensors. You may not use our intellectual property without our prior written consent.
Creator Content: As a Creator, you retain full ownership of the intellectual property rights in the content you create ("Creator Content"). However, by joining our network, you grant Why Not Creator Network LLC a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, display, distribute, and prepare derivative works of your name, likeness, and Creator Content for the purposes of marketing and promoting you, our network, and our Services. Specific content usage rights for brand campaigns will be outlined in the applicable Campaign Agreement.

6. User Conduct and Prohibited Activities

You agree not to use the Services to:

Violate any applicable local, state, national, or international law or regulation.
Infringe upon the intellectual property, privacy, or other rights of any third party.
Transmit any fraudulent, defamatory, obscene, or harassing material.
Engage in any activity that is harmful to our Services, our users, or our reputation.
Misrepresent your identity or affiliation with any person or entity.
Fail to comply with all applicable advertising guidelines, including the FTC's Endorsement Guides, by clearly and conspicuously disclosing your material connection to any brand you are promoting.

7. Confidentiality

You may be given access to certain non-public information, including campaign details, brand information, and pricing ("Confidential Information"). You agree to hold all Confidential Information in strict confidence and not to disclose it to any third party without our prior written consent.

8. Termination

We may terminate or suspend your access to our Services, without prior notice or liability, for any reason, including a breach of these Terms. You may terminate your relationship with us as outlined in your specific Creator or Partner Agreement. Upon termination, your right to use the Services will immediately cease, and certain provisions of these Terms will survive, including, but not limited to, intellectual property provisions, confidentiality obligations, disclaimers, and limitations of liability.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WHY NOT CREATOR NETWORK LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES.

11. Indemnification

You agree to defend, indemnify, and hold harmless Why Not Creator Network LLC and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions.

You agree that any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by mandatory binding arbitration. The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration will take place in San Bernardino County, California.

YOU AND WHY NOT CREATOR NETWORK LLC AGREE TO WAIVE THE RIGHT TO A TRIAL BY JURY AND TO BRING OR PARTICIPATE IN ANY CLASS ACTION, CLASS-WIDE ARBITRATION, OR REPRESENTATIVE ACTION.

13. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.

14. Miscellaneous

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us, constitute the entire agreement between you and Why Not Creator Network LLC concerning the Services. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
